Policies and Procedures

SECTION 1

The following was formulated for the purpose of ensuring growth and practical business operations, for you to use on a regular basis. Please refer to them when you have questions about ‘Knowledge & Cash’ business opportunity or need to clarify any concerns about your business practices.

Life-Skills reserve the right to revise this information at any time, without prior notice.

Life-Skills use the term Independent Business Owner, Entrepreneur, as one and the same.

When you register as an IBO in the Lifeskillsonlinebiz.com ‘Knowledge & Cash’ program, you agree to follow and be bound by the Life-Skills Code of Ethics and Policies and Procedures, which are incorporated into the Registration and Admission Application as updated/amended from time to time.

Violations of the Company Code of Ethics, Participant Agreement, or the written Policies and Procedures may be cause for cancellation of participation. Please read through these Policies and Procedures carefully to fully benefit and understand your rights and responsibilities as a Life-Skills’ ‘Knowledge & Cash’ IBO.

SECTION 2

REGISTRATION / ADMISSION

Every registered and admitted IBO pays a one-time fee of FOUR THOUSAND NAIRA (N4,000) ONLY. The one-time fee covers: Administration charge N2,000 and LEVEL 1 COURSE FEE N2,000. All non-refundable. 

REFUNDS

All IBOs accept that the there is a non-refundable entry fee upon the completion of the online application and payment for the level 1 course .

SECTION 3

ALL IBOs CODE OF ETHICS

  1. I shall work to grow my ‘Knowledge & Cash’ business opportunity by making at least four (4) sales to people who are ready, willing and able to duplicate same to others, within the shortest possible time.
  2. I agree to pay fully my one-time out-of-pocket entry fee of FOUR THOUSAND NAIRA (N4,000) ONLY which covers: Non-refundable Administrative charge and Level 1 Course Fee, own replicated marketing website, and access to my back office for 12 month, from the first date of registration.
  3. I agree in totality that this is an honest Home-based/Internet-based business, with a potential rewards plan built on Network Marketing principles and model.
  4. I agree that all potentials earnings are achievable but not guaranteed.  Actual earnings solely depends on my marketing efforts and ability to duplicate same within my sales team.
  5. I shall build the growth of my independent business in Life-Skills ‘Knowledge & Cash’ program in accordance with the company’s rules and regulations, terms and conditions, and NEVER treat it or portray it an ‘Investment or Get-rich-quick’ scheme. Failure to abide by this is entirely mine, and pledge to be wholly liable for whatever consequences resulting from my  non-compliance.
  6. I will follow the highest standards of honesty and integrity in all that I do.
  7. I will not make negative or disparaging remarks about Life-Skills ‘Knowledge & Cash’ program, their officers and employees, other people, products or firms.
  8. I will present our marketing plan accurately and honestly, clearly portraying the level of effort required to achieve success.
  9. I will carry out all the duties of sponsorship and responsible leadership as I develop my sales team. I will treat everyone, whether they are in my sales team or not, with the same courtesy, respect and loyalty.
  10. I will not promote Life-Skills’ Knowledge & Cash as a Tax avoidance program or scheme.
  11. I will not produce marketing or training aids of any kind for sale to other Distributors without the prior written permission from Company.
  12. I will consistently put forth my best efforts to promote the success of my business. I will not engage in activities that will cause loss to another registered member or Life-Skills as a corporate legal entity.
  13. I will not use Company's name, information literature, gatherings of people or other Company Resources to further other business interests (i.e. selling insurance etc. or sponsoring into other companies).
  14. I will abide by all Policies and Procedures that pertain to the operation of my business.
  15. I state here unequivocally that I have read, understood with clarity the Terms and Conditions, and hereby agree with it in entirety.

SECTION 4

ZERO-TOLERANCE FOR SPAMMING & SCAMMING

During the course of participation in the Life-Skills ‘Knowledge & Cash’ program for one year thereafter, neither the IBO nor their spouse, or any other person assisting in marketing will, directly or indirectly (through or by means of any person, entity, or artifice), solicit, promote, sponsor or recruit any Life-Skills members, staff, management and marketing associates or any Life-Skills customers they became aware of in the course of their Life-Skills membership and marketing, to join, promote, sell, or purchase products of, or participate in as a salesperson or otherwise, any multi-level marketing or direct sales company, and nor will they will encourage anyone to do what is prohibited under this rule.

Violation of this rule is likely to result in termination of the membership and all Life-Skills ‘Knowledge & Cash’ Earnings, Privileges, Benefits, etc.

SECTION 5

OVERVIEW OF POLICIES AND PROCEDURES

  1. An applicant is considered to be a duly authorized IBO, if Life-Skills accepts the completed Application and Agreement.
  2. Company reserves the right to accept or reject any Member Application and Agreement form without having to assign any reason for its acceptance or rejection.
  3. All IBO independent contractors and are neither agents nor employees of Life-Skills.
  4. The Independent Business Owner / Entrepreneur is wholly and solely responsible for bearing all costs and expenses incurred in the conduct of their participation.
  5. A Member must be 18 years of age and above.
  6. A Member must have only one introducer (sponsor).
  7. Husbands and wives, married or de facto, may sponsor each other or have different sponsors. However it should be noted, that all members must meet their own personal qualification levels to qualify for the rewards from the Rewards Program.
  8. Corporate membership is NOT authorized.
  9. ‘Ghost’ or imaginary registration is NOT ALLOWED. Only real persons who will do their marketing efforts are compensated by the business model. Dormant or inactive members will be stagnated.

An IBO cannot resign and rejoin under a different name

SECTION 6

MEMBERS’ EXTERNAL RELATIONS

An IBO shall be responsible for the activities of a spouse, whether or not the spouse participated in the membership of the ‘Knowledge & Cash’ program. For example, If a member may not engage in an activity (such as conduct which diminishes, damages or weakens the reputation of Life-Skills or its products) and the spouse engages in that activity, the member shall be deemed to have engaged in that activity and shall be considered to be in violation of the applicable rule.

Violation of this rule is likely to result in termination of the IBO and all Life-Skills Benefits.

SECTION 7

MAINTENANCE OF MEMBER ACCOUNT INFORMATION

It is the responsibility of each Member to update any registration details of their account such as email address, postal address, and mobile phone number. This will ensure the Member is kept up to date with all updates from the company. These updates are also posted in the "Updates" section of the LifeskillsOnlineBiz.Com Virtual Office of each Member’s website.

Life-Skills will bear no responsibility for any loss (moral, physical or financial or legal or any other kind of loss) caused by entering wrong information into registration form/ misrepresentation by Member or any other person.

SECTION 8

SECURITY

Each Member must keep any Lifeskillsonlinebiz.com passwords and other secure access information confidential and notify Life-Skills promptly if the member believes that the security of an account has been compromised.

Life-Skills has taken reasonable steps to protect the security of online transactions. However, Life-Skills cannot and does not warrant such security and will not be liable for any losses or damages resulting from any security breaches.

SECTION 9

BUILDING A PERSONAL MARKETING TEAM

Independent Business Owner / Entrepreneurs have the option of building a personal marketing team by introducing the Company "Reward" program to interested people who are willing to undergo business training. It is the responsibility of such member to assist in the training, and monitor the activity of members of its personal marketing team. Any person electing to enter into the marketing business program has the right to choose his or her Sponsor.

Any disputes regarding Sponsoring genealogy shall be decided by the company.

A sponsoring independent business owner / entrepreneur must not exaggerate the earning potential that may result from this business opportunity.

A sponsoring IBO is obliged to fairly and fully explain the marketing plan to all prospective members or associates, making sure to stress that the degree of success is directly related to individual effort and ability to achieve the expected minimum sales units.

CROSS LINING

Cross lining or cross sponsoring is where a member solicits other Life-Skills independent business owners who are not in their team or line of sponsorship to become a Member in their sales team. Life-Skills members may NOT introduce other Life-Skills Members to other similar opportunities unless the person is a personally introduced IBO or a closely related person. A "closely related person or entity" is any person in the household of the Member (e.g. spouse, son, daughter, parent living in the same household) or any corporation, partnership, limited liability Company, trust or other legal entity, which is controlled by the IBO.

Cross lining is strictly prohibited in Life-Skills and may result in the imposition of penalties including immediate termination of the Member’s account and forfeiture of past and future earnings in the Life-Skills ‘Knowledge & Cash’ reward program.

MULTIPLE REGISTRATIONS / POSITIONS

Please note that Life-Skills does NOT encourage multiple registrations of ‘ghost’ members to participate or advance in the rewards program. Any Member who advises prospective applicants of anything otherwise will be in violation of this agreement and subject to penalties as set forth herein.

SECTION 10

RELATIONSHIP OF MEMBERS TO LIFE-SKILLS

Members representing Life-Skills are known as Independent Business Owners (IBO) or Entrepreneurs, and have no authority to bind the company to any obligations. The relationship between an IBO and Life-Skills is established only by this Agreement. An IBO is not an agent, employee or any other legal representative of Life-Skills or management or its service providers

IBOs are solely responsible for all self-employment taxes and any federal, state, local or other taxes that may be due as a result of their Life-Skills business activities. IBOs agree to abide by any national, federal, state, provincial, county or local laws, rules and regulations pertaining to this Agreement. At Associate's own expense, IBOs will make, execute and file all such reports and obtain such licenses as are required by law or public authority with respect to this Agreement.

SECTION 11

TRADEMARKS AND MARKETING MATERIALS

IBOs will not use the Life-Skills trade names and/or trademarks except to promote Life-Skills. In all such authorized use, IBOs will ensure that they represent themselves as an independent representative and that all marketing efforts are the responsibility of the IBO and not the company.

Any sales and marketing materials supplied by Life-Skills may NOT be on sold to other parties at a profit and that any purchase of these materials from Life-Skills does not qualify the IBO for any reward payments.

Life-Skills makes no warranty, express or implied, with respect to the use, efficacy or suitability for any purpose with respect to any such marketing material unless otherwise explicitly stated in writing in connection with the purchase thereof.

DOMAIN NAMES AND WEBSITE ADDRESSES

IBOs may not use the name "lifeskillsonline" or ‘life skills’ in a domain name to promote Life-Skills without asking permission from Life-Skills. This includes any extensions of this name such as "Life-Skills Team", "Life-Skills Group", etc. This is to protect the branding of Life-Skills and to prevent any person thinking that any other website address or domain name is representing Life-Skills corporately. Any IBO found using the word Life-Skills in their domain name will be asked to remove this domain name. If the IBO does not comply they will risk termination of their account and participation in the rewards program.

SECTION 12

THIRD PARTY MARKETING MATERIALS CREATED BY IBOs

IBOs may create their own marketing materials. Any marketing materials that use the name Life-Skills or any of Life-Skills' logos, trademarks or trade names MUST be approved by Life-Skills compliance department before they can be used.

Please note that may you NOT put any website online that promotes Life-Skills until you receive a compliance approval number from Life-Skills. This number must be placed on the website along with the following wording.

"This website is owned by an Independent Business Owner of Life-Skills"

Life-Skills has no liability or responsibility for any content, including the quality, accuracy, completeness, legality, or usefulness of any information, product, service or process promoted on IBOs web site or other marketing materials.

In no event shall Life-Skills be liable for any claims or damages of any kind arising from the contents of any website or marketing materials created by an IBO. References in an IBO’s website or marketing materials to products, services, processes, hypertext links to third parties or other information by trade name, trademark, manufacturer, supplier or otherwise do not constitute or imply an endorsement or recommendation by Life-Skills.

SECTION 13

ADVERTISING

Advertising in any form that refers to "Life-Skills" must be approved by the compliance department. This includes advertising in; newspapers, magazines, on flyers, letter box drops, radio, television, recorded messages on answering machines, barter card type systems and the like, any telephone directories, White Pages, Yellow Pages, local directories and the like. IBOs are only permitted to promote and/or advertise themselves as Independent Business Owner of Life-Skills.

IBOs are not permitted to take advantage of Company's name and are therefore not permitted to either infer or imply that they have a direct association or affiliation with Company by promoting themselves by way of Life-Skills name variations.

All advertising and promotional material authorized by Company can be used by IBOs. No IBO will be permitted to have exclusive rights to approved advertising and promotional material. Failure to comply will result in the immediate cancellation of the offending IBO.

LITERATURE

Life-Skills produces approved literature for use by IBOs. All promotional material appearing in the IBOs Virtual Office is approved for downloading to print and copying onto disc for promotional use to prospective associates however it may not be altered or added to in any way.

SECTION 14

MEDIA

No IBO may speak for Life-Skills by way of an interview on radio, television or through the press, including any periodical. If approached for such purpose the IBO should contact Life-Skills via media@lifeskillsonlinebiz.com

COMPLIANCE APPROVAL

All submissions for compliance approval can be made by completing the form sent through request via admin@lifeskillsonlinebiz.com

SECTION 15

LIFESKILLSONLINEBIZ.COM WEBSITE

On occasion, LIFESKILLSONLINEBIZ.COM will undergo routine maintenance or experience unexpected technical problems. Life-Skills will make a good-faith effort to do maintenance as quickly and conveniently as possible, and to respond to technical problems promptly. Life-Skills may be required to access an Associate's web site from time to time to provide maintenance. Life-Skills will not in any circumstance be responsible for problems, losses, or damages arising from loss of connectivity; errors in content due to application problems; loss of access by IBOs; or temporary or permanent loss of data.

SECTION 16

PROMISES MADE BY LIFE-SKILLS INDEPENDENT BUSINESS OWNERS

When an IBO presents Life-Skills to others they should understand all aspects of the rewards program and not make any representation or promise that is not contained in this agreement or in Life-Skills corporate literature and promotional materials. This representation includes print media, video/audio media or any other form of advertisement/ promotion.

If a prospective associate relies on any promises made by a Life-Skills IBO that is not stated in this Agreement and/or official company materials, and the IBO fails to keep any such promise, the prospective associate shall only have recourse against the IBO and not the company.

If the IBO has unfulfilled promises made they have the option of lodging a complaint with Life-Skills. Upon receipt of such a complaint, the Company will investigate the matter as it deems necessary and, upon validation of such a complaint, impose appropriate penalties on the offending IBO. Such action however will not result in any recovery of damages by the prospective associate, which the prospective associate is free to seek against the offending IBO, not the Company.

SECTION 17

IBO RIGHTS AND RESPONSIBILITIES

IBOs who choose to promote Lifeskillsonlinebiz.com are able to earn rewards through ‘Knowledge & Cash’ rewards program. The IBO understands and agrees to abide by the IBO Agreement. An IBO understands they are bound by the terms hereof and that the IBO will be entitled to participate upon acceptance of a valid application for participation.

To activate your Business Centres so it can earn rewards through the rewards program an IBO needs to personally make a minimum of FOUR sales. IBOs are responsible for their own marketing and accept that any rewards earned are the result of consistent marketing efforts. Life-Skills make NO guarantees that an IBOs are responsible for ensuring any new members of their personal marketing team are aware of the policies and procedures, how the rewards program works, and how to take advantage of the benefits and privileges such as the benefits of the Life-Skills ‘Knowledge & Cash’.

The IBO understands that participation in the Rewards Program does not affect the entry fee ‘Knowledge & Cash’ program. Only those who pay their entry fee of Four Thousand Naira (N4,000) shall get access to the Member’s login area

SECTION 18

INCOME REPRESENTATION

IBOs understand that any rewards that are offered from lifeskillsonline.biz through the rewards program is the result of IBO sales and marketing efforts to other willing IBOs. Advancement in the rewards program is based principally on TEAM’s motivation and advancements.

No IBO may make any promise or guarantee that a member will derive any specific income or profit from the rewards program as an IBO of Life-Skills. Any rewards or income an IBO receives through the rewards program is a direct result of the marketing efforts of the IBO and any IBOs in their sales team. IBOs must meet the required qualifications as set out by Life-Skills to receive rewards from the rewards program.

SECTION 19

MISREPRESENTATION

IBOs will not misrepresent Life-Skills in any manner whatsoever at any time.

For purposes of this policy, misrepresentation includes, but is not necessarily limited to the following:

  1. Reviewing the marketing plan with any person without clearly advising them that no commission is received without enrolling or sponsoring new IBOs.
  2. Reviewing the marketing plan with any person without clearly advising them that there is no requirement to pay a fee other than the one-time entry fee of N4000, as stated herein
  3. Stating that any person has made or may make any specific income through the use of the marketing plan and by the generation of income, whether by specific example, geometric progression, or otherwise. Unless in the same presentation it is stated that said hypothetical or potential earnings, as earnings may vary due to individual efforts, geographic location, timing and many other factors.

SECTION 20

POLICY CHANGES

IBOs agree that Life-Skills may from time to time make changes to its benefits and privileges, product and services, pricing, rewards program or to this agreement applicable to all IBOs, without prior notification. IBOs will be made aware of changes via email or sms to the email address or mobile phone listed in their account details as well as posting updates in the UPDATE section of the www.lifeskillsonlinebiz.com website. It is the responsibility of each IBO to ensure the email address listed in their account is valid and that they check regularly their Virtual Office for the latest updates. IBOs agree to abide by all changes.

SECTION 21

AUTO-UPGRADE FEE FOR COURSE PAYMENTS

Life-Skills will deduct an account fee from each reward payment that is credited to an IBO eWallet account. This fee will be shown in the rewards payment statement and shall be equal to the approved course fee for the next level of an IBO in the reward plan.

DEDUCTION OF MONTHLY CHARGE FOR SMS AND OTHER ASSOCIATED COSTS

Life-Skills shall auto deduct a minimum balance of N200 from all IBOs earnings to cover for all sms and other associated costs incurred on behalf of an IBO in the course of normal business processes.

SECTION 22

CONFIDENTIALITY

IBOs understand that the Life-Skills marketing plan, details of their progress in the rewards program, details of their Life-Skills sales team, and official company literature are proprietary information and considered trade secrets of Life-Skills.

IBOs hereby agree to not directly or indirectly disclose or use any of said confidential or proprietary information except to specifically promote the lifeskillsonline.biz business in accordance with the provisions of this Agreement. IBO further agrees that this provision shall survive the expiration or termination of this Agreement for a period of one year.

SECTION 23

CANCELLATION

Should an IBO wish to cancel their Agreement with Company the IBO should notify Life-Skills through the help desk via support@lifeskillsonlinebiz.com If the participation is cancelled, that IBO may not apply for new participation for at least 6 months after Company has received the notice of cancellation. Company reserves the right to cancel an IBO Agreement should there be any breach by the IBO of the Agreement.

INHERITABILITY

The Life-Skills Program/Business Centre, like any other business or asset an IBO may have, is fully transferable in accordance with the terms of a Will, or, in the absence of a Will, it passes to the heirs pursuant to the applicable interstate succession laws. For those IBOs whose Life-Skills Business Centres is/are owned by a corporation (or some other type of legal entity), there would be no change in the ownership of the Business Centre upon the death of an owner of that corporation, etc. Ownership of the corporation would change by passing to the heirs, but the corporation would continue to own the Life-Skills Business Centre.

INDEMNITY

IBO indemnifies and holds Life-Skills harmless against all claims made by any third party, and any related damages and expenses (including reasonable attorney's fees), arising out of or connected with the IBOs conduct, the associate's website or online store, the goods or service the IBO offers, or any violation of this agreement by associate.

SECTION 24

LIMITATION OF LIABILITY

Life-Skills makes no warranties, express or implied, related to the "www.lifeskillsonlinebiz.com’ Marketing Programs. Life-Skills will not be liable to any IBO for indirect, incidental, special or consequential damages, such as (but not limited to) loss of profits or business interruption, arising out of or connected to the use of, or inability to use, the " lifeskillsonlinebiz.com Marketing Programs", related services, products or marketing materials provided to any Associate. The total liability of Life-Skills for any and all damages arising from or connected with this Agreement, the "lifeskillsonlinebiz.com Marketing Program" or the services, products or marketing materials provided to any IBO shall not exceed the total fees paid by the IBO to Life-Skills during registration and admission for the 12-month period immediately preceding the initial occurrence of the event causing the damages.

SECTION 25

IMPOSITION OF PENALTY

If an IBO breaches any of the provisions of this Agreement, violates any applicable law or regulation or engages in any false, misleading or unfair trade practice, including but not limited to, making misleading income representations or making promises to potential IBOs that cannot be kept by IBO, (herein called "Violation") any such Violation is grounds for the imposition of penalty, as more fully set forth hereafter.

The Company may suspend the IBO, including suspension of rewards earned at the time, pending investigation of any alleged Violation. The IBO shall be given notice of the alleged Violation by e-mail, fax or other rapid method of communication and shall have seven days thereafter to respond in writing (verbal response will not be considered) to any alleged Violation (s), failing which, the Company can consider the allegations to be true. (It is Associate's responsibility to see that Company receives the response, with supporting documentation, if any, within the seven-day period.) If at the end of the investigation it is determined that IBO is to be penalized, the date of the imposition of the penalty can be, at the Company's option,

  1. the date of the penalty notice
  2. the date of the notice of the alleged violation
  3. the date on which suspension, if any, occurred, or
  4. any other current date.

Incomes suspended and/or earned, if any, as of the date of a termination, shall not be paid. Any such payments not paid shall be deemed to be liquidated damages as payment of part of the damages suffered by Company for the Violation. An IBO can request that any decision to impose a penalty be reviewed and supply any additional material that may bear on the matter in support thereof within seven days after notice of the penalty is given. Company shall then advise the IBO of its final decision. The Company shall have the option of imposing any one or more of the following penalties for Violations:

  • Disabling of Business Centres of the IBO;
  • Denial or revocation of any achievement awards otherwise earned;
  • Denial of sales credit for sales that fall into the team of a cross-sponsored Associate;
  • Denial of credit for sales of multiple web sites due to falsely representing need for them;
  • Imposition of a fine in an amount to be determined by the Company; and/or Termination of the Associate's Agreement.

No extension of time or indulgence granted by Life-Skills to the IBOs shall be deemed in any way to effect, prejudice or derogate from the rights of Life-Skills in any respect under this Agreement, nor shall it in any way be regarded a waiver of any rights by Life-Skills hereunder or a novation of this Agreement.

Communication to Life-Skills on matters relating to penalty between Life-Skills and IBOs must be made via legal@lifeskillsonlinebiz.com

SECTION 26

OFFICIAL LANGUAGES/DEFINITIONS

The English version of this Agreement, as maintained by Life-Skills is the official version and shall control over any other language version(s) which may be made available for ease of reference for some IBOs. As used in the Life-Skills materials, when the term, "sell/enrol" and words of similar import are used to describe the enrolment/ sales activities of IBO, this is an abbreviated reference to the promotional activities of IBO with respect to sales and it is understood that all sales are between the Company and the purchaser, not between the IBO and the purchaser. Likewise, when the term, "recruit" and words of similar import are used to describe the referral and recruiting activities of IBO, this is an abbreviated reference to the team building activities of IBO and it is understood that the agreement by which one becomes a IBO is between the Company and the recruited IBO and not between the new IBO and the referring IBO.

SECTION 27

INCORPORATION OF AGREEMENTS

If IBO has enrolled in a "lifeskillsonlinebiz.com Marketing Program", the User Agreement and Acceptable Use Policy are incorporated herein as if fully set forth.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties on the subject matter hereof, and no other additional promises, representations, guarantees or agreements of any kind shall be valid concerning such subject matter unless in writing and signed by an authorized officer of Life-Skills.

RESPONSIBILITY

Life-Skills is not responsible for the acts of its IBOs under any circumstances for their wrongful and illegal activities.

APPLICANT ACKNOWLEDGEMENT

IBO acknowledges that IBO has read understands and agrees to the terms set forth in this Agreement. IBO understands that this Agreement is not in force until accepted.

SECTION 28

ANTI-SPAM POLICY

COMPANY HAS A ZERO TOLERANCE ANTI-SPAM POLICY.

THIS MEANS THAT ANY TEAM LEADER OR IBO OR RELATED IBO THAT SPAM'S IN ANY WAY SHALL BE IMMEDIATELY TERMINATED WITH ALL RIGHTS FORFEITED.

The following Acceptable use (Anti-Spam) policy sets forth what activities on the part of a Company IBO will not be tolerated under any circumstances. These policies will be enforced to insure Life-Skills continued reputation remains as a high quality, professional company. Company will immediately terminate any IBO found engaging in spamming or any illegal activity. Their participation shall be terminated and they will be charged THIRTY THOUSAND NAIRA ONLY for each reported spamming activity as a penalty and damage charge. Company will immediately contact state and federal authorities to report such activity as it is a crime in many jurisdictions to Spam.

Any IBO, person or entity found spamming will have their relationship to Life-Skills terminated when Company receives complaints from any part of the Internet community and verifies same.
